The NCDs proposed under this issue have been rated AA by CARE and AA (it means outlook is stable) by Brickwork. The rating indicates instruments are considered to have a high degree of safety regarding timely servicing of financial obligations. Such instruments carry very low credit risk.

There is no TDS (tax deducted at source) if bonds are held in demat form, therefore, cash flow is full 12 percent. Investors can sell bonds at prevailing market rates on two exchanges (BSE and NSE) upon listing.

The interest rate remains fixed because there is no Call and Put option available, which means the company cannot prematurely redeem the bonds. Investment can be in physical and dematerialised form for resident investors. Both minors and NRIs can also apply.

Hybrid Cloud Market Will Be Won In The Middle Ground

Most of the biggest technology payoffs have been generated by companies that drove transformations in business operations. From the mainframe era with IBM (IBM) through the PC era with Microsoft (MSFT) and the networking era with Cisco (CSCO), disruptive technologies that set new standards for business productivity established built-to-last companies with massive market capitalizations.

The hybrid cloud is the next major opportunity for disruptive innovation, and companies like Amazon (AMZN), Google (GOOG), Microsoft and VMware (VMW) are well-poised to establish best of breed cloud services. Recent estimates peg investments in cloud infrastructure to now exceed $50B per year.

Yet the winner of the hybrid cloud war may not win by simply building the grandest cloud service, but rather by having a strategic cloud migration and integration capability. That capability will be framed by critical APIs, services and a robust hybrid cloud automation platform. Automation may have more to do with the success of a cloud offering than its sheer depth of services (storage, networking, apps, etc.).

The Power of Software versus Hardware

When Sun Microsystems (ORCL) dominated the server world, a much smaller company (with about 20 employees) based in Palo Alto developed software, which allowed x86 servers to be utilized more efficiently. As it grew from its stealth launch in 1998 to its commanding presence today, VMware set the stage for another computing disruption by proving that x86 server hardware could be used much more efficiently with virtualization software: multiple applications and operating systems could run on the same server.

Server virtualization allowed IT pros to manage more app workloads. Sprawling, increasingly complex data centers could also be more efficiently utilized. VMware was not a server hardware company, but a company developing software to allow servers to be used more efficiently. Virtualization paved the way for a series of data center evolutions that made cl! ouds operationally feasible on ever larger scales, which in turn drove new storage and networking demands.

See, for example, VMware's acquisition of tiny Nicira for $1.2B+, where software defined networking became increasingly strategic to the growth of server virtualization.

Middle Ground Software for the Cloud

As tech leaders like Google, Microsoft and VMware invest heavily in cloud infrastructure and public cloud leader Amazon continues to invest as a market leader, many enterprises will likely not be looking at any single public cloud as a permanent destination, but rather as a temporary location driven by changing business and operating advantages. Servers, for example, have refresh rates that can involve replacement as often as every 3 years, sometimes even less. Clouds might be even more temporary thanks to the rise of "on demand" operating models like "pay as you go" disaster recovery and over-hyped cloud bursting.

For example, while the cloud may not be cost effective for many full time workloads, it can be very economical for occasional workloads. Think "pay as you go" for disaster recovery, for example. Today many enterprises invest heavily in buying and operating duplicate server, storage and networking hardware (for rare use during outages). Clouds could be significantly more cost effective for use during rare or even occasional bouts of planned or unplanned downtime than for always on usage. Taxis, for example, are very cost effective for short-term use, but for full-time use they are cost-prohibitive for most drivers.

That brings us to the importance of the middle ground, or agility and automation in between the data center and the cloud. By reducing the time and expense required to migrate apps into and between clouds, the clouds become more economical and more feasible for powerfully disr! uptive us! e cases, like cloud-based disaster recovery.

Today there are a handful of startups in the cloud migration middle ground with varying degrees of automation and varying levels of support for production environments. As the cloud migration category matures to support cloud migration and integration the cloud will ultimately become a seamless extension of the data center, something that Microsoft and VMware are already talking about. When that happens, fortunes will be made in the middle ground between massive data center investments and equally massive investments in cloud infrastructure. That middle ground will become strategic to enterprise cloud capabilities; perhaps more so than any single cloud.

A nascent nontraded business development company has cut ties with its outside broker-dealer manager, citing a lack of financial stability at the broker-dealer.

The VII Peaks-KBR Co-Optivist Income BDC II Inc. said in a filing with the Securities and Exchange Commission on Friday that its board decided to split from its investment adviser, VII Peaks-KBR BDC Advisor II LLC. The BDC's board retained VII Peaks but terminated KBR as the investment adviser.

The new name of the BDC, which has $18 million in assets under management, is VII Peaks Co-Optivist Income BDC II Inc. Its net asset value per share is $8.83, according to its most recent quarterly report. The current offering price is $10.15 per share.

KBR, through the broker-dealer KBR Capital Markets LLC, distributed the BDC.

BDCs are typically closed-end investment companies that invest in debt and equity of private companies. Nontraded BDCs currently are one of the most popular alternative investments sold through independent broker-dealers. Yields can be attractive due to BDCs' exposure to high credit risks that are amplified by leverage, according to the Financial Industry Regulatory Authority Inc.

According to investment bank Robert A. Stanger & Co. Inc., nontraded BDC sales have been booming this year. Sales of nonlisted BDCs during the first half reached $2.1 billion, a 47.2% increase over the same period of 2012. The biggest seller over the first six months was FS Investment Corp. II, which raised $827.5 million over that time.

VII Peaks Capital has $46.2 million in total assets, according to its Form ADV. SEC filings show that VII Peaks and KBR had four other offerings, but those were private and not publicly registered.

The BDC is actively seeking a new broker-dealer as a distributor, said Gurpreet Chandhoke, chief executive and chairman.

“We are moving on from KBR,” Mr. Chandhoke said. “We terminated the advisory agreement. We do the investment management, and KBR was purely a distributor.”

He cited financial issues at KBR as a concern. “We need to have a stable distribution partner,” he said.

Vinay Kumar, the owner of KBR Capital Markets, did not return a phone message left at the firm Monday. He also did not respond to e-mails sent him Monday and Tuesday. According to a filing with the SEC, KBR posted a net loss of $1.2 million last year.

Morning Movers: Ascena Retail Surges 13% on Earnings Beat; Landec Plunges 13% on Big Disappointment

Stocks are set to open ever so slightly lower–and perhaps continue their four-day losing streak.

 S&P 500 futures have fallen 1.9 points to 1,690.60, while Dow Jones Industrial futures have dropped 6 points to 15,280.00.

Ascena Retail Group (ASNA) has gained 13% to $19.65 after the retailer reported a profit of 34 cents a share, trouncing analyst forecasts of 21 cents.

AAR Corp. (AIR) has dropped 5.6% to $28.25 after it said it earned 45 cents a share, in line with analyst estimates, but sales missed.

Landec (LNDC) has plunged 13% to $11.85 after it reported a profit of 18 cents a share, below forecasts for 23 cents.

Carnival (CCL) has dropped 4.2% to $33.10 after it was downgraded at Merrill Lynch and Morgan Stanley one day after losing 8% following disappointing earnings.

Autozone (AZO) has dropped 0.6% to $412 after the company reported a profit of $10.42 a share, beating analyst forecasts of $10.33.

The Seven Best Paying Jobs With Only High School Diploma

Close to a third of the adult U.S. population has a college degree. While it no longer necessarily guarantees a job, as it once did, graduating from college is a prerequisite for the vast majority of high-paying jobs.

Of the job categories that earned a median of at least $60,000 in 2012, just a handful did not require at least some college education. The top-paying job categories all required a bachelor's degree, and in many cases, a master's or doctoral degree.

But for those who cannot go to college, there are still hundreds of thousands of high-paying jobs that only require a high school diploma. 24/7 Wall St. reviewed 2012 occupational profiles from the Bureau of Labor Statistics (BLS) to identify the jobs that pay the most money and generally do not require any more formal education than a high school diploma.

Very few of these positions, however, are instantly accessible to a person fresh out of high school. Some of these positions do not require a bachelor's degree, but do involve a great deal of additional on-the-job training or certification. Most require years of work at lower positions before workers can move up the ranks.

Many of these jobs are compensated well because of the dangerous or unfavorable conditions associated with them. Subway operators, paid a median of nearly $63,000 a year, spend long hours underground. Elevator repairers and nuclear power plant operators work in potentially life-threatening positions and are paid more, accordingly.

In order to identify the high-paying jobs you can get with a high-school degree, 24/7 Wall St. 24/7 Wall St. reviewed wage and employment data from the Bureau of Labor Statistics' Occupational Employment Statistics database and job descriptions from the Occupational Outlook Handbook. The jobs that made the list had a median annual salary of at least $60,000 and did not require formal education beyond a high school diploma, according to the BLS.

The Financial Crisis in Paulson, Fuld, Geithner and Dimon's Own Words

NEW YORK (TheStreet) -- Five years ago on Sunday, Sept. 14, investment bank Lehman Brothers filed for bankruptcy, a turning point in the 2008 financial crisis that caused tumult in esoteric credit markets to accelerate into a cascading global financial panic.

What began as a Wall Street-oriented catastrophe eventually reached all corners of the global economy. The U.S. fell into the sharpest recession since the Great Depression. In Europe, nations teetered on the brink of bankruptcy.

Millions of Americans lost their jobs and unemployment rates remain at historic highs in many developed market economies. The 2008 crisis has also spawned an overhaul of the global financial system as regulators work to ensure that future banking industry panics don't imperil ordinary citizens.

Five years ago, a handful of extraordinarily powerful bankers were racing to save the financial system after sowing the seeds of collapse. Bankers such as Richard S. Fuld of Lehman Brothers, John Mack of Morgan Stanley (MS) and John Thain of Merrill Lynch were working around the clock to save their firms. Government officials such as New York Federal Reserve President Timothy Geithner, Treasury Secretary Hank Paulson and Fed Chair Ben Bernanke meanwhile, were in the process of hatching was the biggest rescue -- or bailout -- in Wall Street's history. Jim Cramer's 'Mad Money' Recap: Next Week's Game Plan

NEW YORK (TheStreet) -- The markets have had a fabulous run, but don't get complacent, Jim Cramer warned on "Mad Money" Friday as he laid out his game plan for next week's trading.

Cramer said with the next Federal Reserve meeting slated for Wednesday, the markets could be put to the test.

Before the Fed meeting, Cramer said he'll be watching both the Empire State Fed Survey and the U.S. industrial production numbers on Monday. Both these metrics will offer some clarity on whether the economy is strengthening or weakening as many fear. Also on Monday, the Morgan Stanley industrial and auto conference, which can offer up even more data. Cramer said he'll also be watching results from Boeing (BA) on Monday, along with the Citigroup Global Industrial Conference on Tuesday. He reiterated buys on Emerson Electric (EMR) and United Technologies (UTX) ahead of the conference. But the real news comes on Wednesday when the Fed releases its statement, said Cramer. He told investors to be ready to buy on the resulting weakness because no matter what the Fed does, it's unlikely to have an effect on the earnings per share of most companies. FedEx (FDX) and Oracle (ORCL) also report Wednesday and Cramer said he'd be a buyer of FedEx, but has given up on Oracle. Thursday brings earnings from two turnaround stocks, Pier 1 Imports (PIR) and Rite Aid (RAD). Cramer was bullish on both names. Finally, on Friday, Cramer said the markets will likely take a rest after fretting about, then digesting, whatever the Fed has in store for us. Speculation Friday For "Speculation Friday," Cramer highlighted what he deemed "the best new company you've probably never heard of," Splunk (SPLK). Splunk came public in April 2012, and since then shares have rocketed 245%. As Cramer explained, Splunk helps companies manage and make sense of their big data, but not the sales and accounting kind that live in structured databases. Splunk has created game-changing software that helps companies analyze unstructured data, which can often account for as much as 90% of the data companies generate in a given year.

Unstructured data is often called machine data, or the logs created by servers as they go about their business. Machine data create a treasure trove of useful information, but only if it can be read, aggregated and analyzed, which is exactly what Splunk's software does. Splunk's customers can detect fraud, analyze security threats and prove that their in compliance all by using Splunk software.

Cramer said that big data is a $30 billion opportunity for Splunk, and the company is aggressively expanding its sales force to take a leading position. It reported a 50% rise in revenue last quarter with an incredible 90% gross margin, he added. It's no wonder shares are trading at 12 times sales, even though it is not yet profitable.

Cramer said he's a believer in the Splunk story, but only for speculation given its extremely high valuation. Know Your IPO

In the "Know Your IPO" segment, Cramer commented on the much-hyped Twitter initial public offering announced Thursday. He said his only hope is the underwriters for Twitter bring a fair IPO to market and avoid the fiasco that was Facebook's (FB) IPO. Everyone will want a piece of Twitter, but as of now, very little is known about the company and what its true value really is. In the meantime, however, Cramer said he's a fan of FireEye, a cyber security firm that will be coming public under the ticker "FEYE." The company plans to offer 14 million shares between $12 and $14, which would make it a $1.5 billion entity trading at 13 times sales. That's far from cheap, Cramer admitted, but the average first-day gain on a software IPO in 2013 has been 56%, which makes FireEye worth a look if investors can get in on the deal. Also on the "coming soon" list is BenefitFocus, a cloud software company. These shares are expected to price between $21.50 and $24.50 a share, pegging this company's valuation at 6.7 times sales. This, too, is pricey, said Cramer, but is also worth trying to get in on. Lightning Round In the Lightning Round, Cramer was bullish on Starbucks (SBUX), Hexcel (HXL), BE Aerospace (BEAV), Cheniere Energy (LNG) and EOG Resources (EOG). Cramer was bearish on Pembina Pipeline (PBA), Northern Tier Energy (NTI) and Valero Energy (VLO). Mad Mail In the "Mad Mail" viewer feedback segment, Cramer followed up on a few stocks that stumped him on earlier shows. He said that CompuGen (CGEN) needs to cool off after a recent 68% move to the upside. The stock of 1-800-FLOWERS (FLWS) also didn't get Cramer's recommendation because he said that stock was already fairly valued. Cramer told investors to cool it with Immunomedics (IMMU), a stock that's doubled so far in 2013, but he was warming up to Grana Y Montero (GRAM), the engineering and construction giant from Peru. When asked about Boeing, Cramer said he still liked the stock, as he does Buffalo Wild Wings (BWLD). He is not a fan of Teva Pharmaceuticals (TEVA), however, reminding viewers that he hasn't like this stock in quite some time. No Huddle Offense In his "No Huddle Offense" segment, Cramer admitted the markets have him a little perplexed at the moment. On one hand, there's another government shutdown looming just a few weeks from now. But on the other hand, there's a rampant enthusiasm for stocks that he hasn't seen in years. That was certainly the case with Ulta Salon (ULTA), which shot up 17% in a single day on a better-than-expected quarter. Cramer said he always roots for stocks to go higher, but 17% in a single day tells him that we're near a top and things are getting "frothy." But the market isn't rewarding discipline or caution at the moment, it's taking stocks like Ulta, and many others, sharply higher despite the Fed and Washington and Syria and the many other signals that should be sending investors running for the hills. Goldman Sachs Resumes Coverage on Health Care REIT at “Neutral” (HCN)

Early on Tuesday, Goldman Sachs analysts resumed coverage on Health Care REIT, Inc (HCN), giving the company a tepid rating due to lower-than-average earnings growth expectations.

The analysts rate HCN as “Neutral” and see shares reaching $61. This price target suggests a slight downside to the stock’s Monday closing price of $62.81.

Goldman Sachs analyst Andrew Rosivach said, “The price target is based on a target 2018E AFFO multiple in line with our sector average, which is warranted given the company's high-quality portfolio, but an estimated lower-than-average earnings growth.”

Health Care REIT shares were up 25 cents, or 0.40%, during early morning trading on Tuesday. The stock is up 2.37% year-to-date.

Hot Medical Stocks For 2014

Although business headlines still tout earnings numbers, many investors have moved past net earnings as a measure of a company's economic output. That's because earnings are very often less trustworthy than cash flow, since earnings are more open to manipulation based on dubious judgment calls.

Earnings' unreliability is one of the reasons Foolish investors often flip straight past the income statement to check the cash flow statement. In general, by taking a close look at the cash moving in and out of the business, you can better understand whether the last batch of earnings brought money into the company, or merely disguised a cash gusher with a pretty headline.

Calling all cash flows
When you are trying to buy the market's best stocks, it's worth checking up on your companies' free cash flow once a quarter or so, to see whether it bears any relationship to the net income in the headlines. That's what we do with this series. Today, we're checking in on Rochester Medical (Nasdaq: ROCM  ) , whose recent revenue and earnings are plotted below.

Hot Medical Stocks For 2014: Cell Therapeutics Inc (CTIC)

Cell Therapeutics, Inc. (CTI), incorporated in 1991, develops, acquires and commercializes treatments for cancer. The Company�� research, development, acquisition and in-licensing activities concentrate on identifying and developing new ways to treat cancer. As of December 31, 2011, CTI focused its efforts on Pixuvri (pixantrone dimaleate) (Pixuvri), OPAXIO (paclitaxel poliglumex) (OPAXIO), tosedostat, brostallicin and bisplatinates. As of December 31, 2011, it developed Pixuvri, an anthracycline derivative for the treatment of hematologic malignancies and solid tumors. Another late-stage drug candidate of the Company, OPAXIO, is being studied as a potential maintenance therapy for women with advanced stage ovarian cancer, who achieve a complete remission following first-line therapy with paclitaxel and carboplatin. As of December 31, 2011, it also developed tosedostat in collaboration with Chroma Therapeutics, Ltd. (Chroma). On May 31, 2012, CTI completed its acquisition gaining worldwide rights to S*BIO Pte Ltd.'s (S*BIO) pacritinib.

Pixuvri

As of December 31, 2011, the Company developed Pixuvri, an aza-anthracenedione derivative, for the treatment of non-Hodgkin�� lymphoma (NHL), and various other hematologic malignancies, and solid tumors. Pixuvri was studied in the Company�� EXTEND, or PIX301, clinical trial, which was a phase III single-agent trial of Pixuvri for patients with relapsed, refractory aggressive NHL who received two or more prior therapies and who were sensitive to treatment with anthracyclines. On September 28, 2011, CTI announced that a second independent radiology assessment of response and progression endpoint data from its PIX301 clinical trial of Pixuvri was achieved with statistical significance. The results of the EXTEND trial met its primary endpoint and showed that patients randomized to treatment with Pixuvri achieved a significantly higher rate of confirmed and unconfirmed complete response compared to patients treated with standard chem! otherapy had a significantly increased overall response rate and experienced a statistically significant improvement in median progression free survival. Pixuvri had predictable and manageable toxicities when administered at the proposed dose and schedule in the EXTEND clinical trial in heavily pre-treated patients. In March 2011, the Company initiated the PIX-R trial to study Pixuvri in combination with rituximab in patients with relapsed/refractory diffuse large B-cell lymphoma (DLBCL). Pixuvri has also been studied in patients with HER2-negative metastatic breast cancer who have tumor progression after at least two, but not more than three, prior chemotherapy regimens. In the second quarter of 2010, the NCCTG opened this phase II study for enrollment. The study is closed to accrual and results are expected to be reported by the NCCTG later in 2012.

OPAXIO

OPAXIO is the Company�� biologically-enhanced chemotherapeutic agent that links paclitaxel to a biodegradable polyglutamate polymer, resulting in a new chemical entity. As of December 31, 2011, the Company focused its development of OPAXIO on ovarian, brain, esophageal, head and neck cancer. OPAXIO was designed to improve the delivery of paclitaxel to tumor tissue while protecting normal tissue from toxic side effects. In November 2010, results were presented by the Brown University Oncology Group from a phase II trial of OPAXIO combined with temozolomide (TMZ), and radiotherapy in patients with newly-diagnosed, high-grade gliomas, a type of brain cancer. The trial demonstrated a high rate of complete and partial responses and a high rate of six month progression free survival (PFS). Based on these results, the Brown University Oncology Group has initiated a randomized, multicenter, phase II study of OPAXIO and standard radiotherapy versus TMZ and radiotherapy for newly diagnosed patients with glioblastoma with an active gene termed MGMT that reduces responsiveness to TMZ. A phase I/II study of OPAXIO combined with radi! otherapy ! and cisplatin was initiated by SUNY Upstate Medical University, in patients with locally advanced head and neck cancer.

Tosedostat

In March 2011, the Company entered into a co-development and license agreement with Chroma Therapeutics, Ltd. (Chroma), providing the Company with marketing and co-development rights to Chroma�� drug candidate, tosedostat, in North, Central and South America. Tosedostat is an oral, aminopeptidase inhibitor that has demonstrated anti-tumor responses in blood related cancers and solid tumors in phase I-II clinical trials. Interim results from the phase II OPAL study of tosedostat in elderly patients with relapsed or refractory acute myeloid leukemia (AML) showed that once-daily, oral doses of tosedostat had predictable and manageable toxicities and results demonstrated response rates, including a high-response rate among patients who received prior hypomethylating agents, which are used to treat myelodysplastic syndrome (MDS), a precursor of AML.

Brostallicin

As of December 31, 2011, the Company developed brostallicin through its wholly owned subsidiary, Systems Medicine LLC, which holds rights to use, develop, import and export brostallicin. Brostallicin is a synthetic deoxyribonucleic acid (DNA) minor groove binding agent that has demonstrated anti-tumor activity and a favorable safety profile in clinical trials, in which more than 230 patients have been treated as of December 31, 2011. The Company uses a genomic-based platform to guide the development of brostallicin. A phase II study of brostallicin in relapsed, refractory soft tissue sarcoma met its predefined activity and safety hurdles and resulted in a first-line phase II clinical trial study that was conducted by the European Organization for Research and Treatment of Cancer (EORTC).

Preclinical and Clinical-Stage Pipeline

AZD4694

AZD4694 is a Fluorine-18 labeled precision radiopharmaceutical candidate for use in the imaging and evaluation of patients with signs or symptoms of cognitive impairment such as Alzheimer's disease (AD). It binds to beta-amyloid deposits in the brain that can then be imaged in positron emission tomography (PET) scans. Amyloid plaque pathology is a required feature of AD and the presence of amyloid pathology is a supportive feature for diagnosis of probable AD. Patients who are negative for amyloid pathology do not have AD. AZD4694 has been studied in several clinical trials. Clinical studies through Phase IIa have included more than 80 patients to date, both suspected AD patients and healthy volunteers. No significant adverse events have been observed. Results suggest that AZD4694 has the ability to image patients quickly and safely with high sensitivity.

RadioImmunoGuided Surgery

As of December 31, 2011, RIGScan had been studied in a number of clinical trials, including Phase III studies.     Shares of AMGN ripped higher on Wednesday after news broke that the company is close to a deal to buy Onyx Pharmaceuticals (ONXX) for $130 a share, valuing the deal at around $9.5 billion.

    From a technical perspective, AMGN spiked sharply higher here right above its 50-day moving average of $102.08 with heavy upside volume. This move pushed shares of AMGN into breakout territory, since it took out some near-term overhead resistance levels at $110 to $111.30. Shares of AMGN are now quickly moving within range of triggering another big breakout trade. That trade will hit if AMGN manages to take out Wednesday's high of $113.30 to its 52-week high at $114.95 with high volume.

    Traders should now look for long-biased trades in AMGN as long as it's trending above $110 or $108 and then once it sustains a move or close above those breakout levels with volume that hits near or above 3.27 million shares. If that breakout hits soon, then AMGN will set up to enter new 52-week high territory, which is bullish technical price action. Some possible upside targets off that move are $120 to $125.

    After weeks of speculation, Amgen’s (AMGN) purchase of Onyx Pharmaceuticals (ONXX) looks like a done deal. The Wall Street Journal has the details:

    Amgen�Inc. reached a deal Sunday to buy fellow biotech�Onyx Pharmaceuticals�Inc. for roughly $10.4 billion, the latest proposed takeover aimed at tapping into growth expected from the cancer-drug industry.

    The all-cash takeover values Onyx at $125 a share. The price Amgen is paying is below what investors expected in the days after the possible deal surfaced in late June. Amgen had approached Onyx with an offer of $120 a share for the company, whose primary attraction is a blood-cancer drug called Kyprolis…

    The deal is expected to close at the beginning of the fourth quarter.

    RBC’s Michael Yee and team list three reasons for Amgen stockholders to like the deal:

    We reiterate our view AMGN will likely go higher after acquiring ONXX because: 1) adds growth ��changes the growth profile of AMGN and modestly accelerates top/bottom line (we see 5-15% accretion…), 2) diversification: it diversifies AMGN away from current portfolio of supportive care drugs where over 40% is exposed to biosimilars over next few years so it reduces biosimilar risk, 3) adds leverage through OUS infrastructure, reimbursement expertise, and existing cancer salesforce (tougher for small co’s).

    Once, one of the hottest biotech stocks around, Dendreon (DNDN) has become a cautionary tale, warning investors what can happen when a cutting-edge�drug turns into a dud.

    Now at less than $3 a share, the stock had traded as high as $54 in 2010 as excitement buzzed over the�experimental prostate cancer vaccine Provenge. Initially, Wall Street expected peak sales of $3 billion to $4 billion. In June 2011, the Company initiated a Phase II clini! c! al trial to evaluate TELINTRA tablets. The activity and safety profile of tablet formulation allowed the Company to complete a Phase II trial of TELINTRA tablets in MDS. The primary objective of the Phase II TELINTRA tablet study was to determine the efficacy of TELINTRA. A multivariate logistic regression analysis was conducted to identify MDS disease prognostic factors associated with erythroid improvement response rates, including prior MDS treatment, age, gender, the international prognostic scoring system (IPSS), risk, Eastern Cooperative Group performance status, years from MDS diagnosis, MDS World Health Organization subtypes, anemia only versus anemia plus other cytopenias, dose schedule and starting dose. Results from this study show that TELINTRA is the first GSTP1-1 enzyme inhibitor shown to cause clinically reductions in red blood cell transf usions, including transfusion independence in low to intermediate-1 risk MDS patients, as well as improvement in platelet count and white blood cell levels in certain patients. TELINTRA, administered orally twice daily, appeared to be convenient and flexible for chronic treatment administration.

TELCYTA is a small molecule drug product candidate that the Company is developed for the treatment of cancer. TELCYTA binds to GST. TELCYTA has been evaluated in multiple Phase II and Phase III clinical trials, including trials using TELCYTA as monotherapy and in combination regimens in ovarian, non-small cell lung, breast and colorectal cancer. Results from these clinical trials indicate that TELCYTA monotherapy was generally well-tolerated, with mostly mild to moderate side effects, particularly when compared to the side effects and toxicities of standard chemotherapeutic drugs. Pixuvri

On September 28, 2011, CTI announced that a second independent radiology assessment of response and progression endpoint data from its PIX301 clinical trial of Pixuvri was achieved with statistical significance. The results of the EXTEND trial met its primary endpoint and showed that patients randomized to treatment with Pixuvri achieved a significantly higher rate of confirmed and unconfirmed co mplete response compared to patients treated with standard! c! hemotherapy had a significantly increased overall response rate and experienced a statistically significant improvement in median progression free survival. Pixuvri had predictable and manageable toxicities when administered at the proposed dose and schedule in the EXTEND clinical trial in heavily pre-treated patients. In March 2011, the Company initiated the PIX-R trial to study Pixuvri in combination with rituximab in patients with relapsed/refractory diffuse large B-cell lymphoma (DLBCL). Pixuvri has also been studied in patients with HER2-negative metastatic breast cancer who have tumor progression after at least two, but not more than three, prior chemotherapy regimens. In the second quarter of 2010, the NCCTG opened this phase II study for enrollment. The study is closed to accrual and results are expected to be reported by the NCCTG later in 2012.

OPAXIO

OPAXIO is the Company�� biologically-enhanced chemotherapeutic agent that links pacli taxel to a biodegradable polyglutamate polymer, resulting in a new chemical entity. As of December 31, 2011, the Company focused its development of OPAXIO on ovarian, brain, esophageal, head and neck cancer. OPAXIO was designed to improve the delivery of paclitaxel to tumor tissue while protecting normal tissue from toxic side effects. In November 2010, results were presented by the Brown University Oncology Group from a phase II trial of OPAXIO combined with temozolomide (TMZ), and radiotherapy in patients with newly-diagnosed, high-grade gliomas, a type of brain cancer. Tosedostat

In March 2011, the Company entered into a co-development and license agreement with Chroma Therapeutics, Ltd. (Chroma), providing the Company with marketing and co-development rights to Chroma�� drug candidate, tosedostat, in North, Central and South America.
